The G3N Retail Stack and all related documentation, MCP pages, interfaces, websites, dashboards, text, graphics, designs, page layouts, look-and-feel, workflows, specifications, schemas, data models, screenshots, audio/video, downloads, updates, release notes, training materials, sample content, code snippets, scripts, examples, API descriptions, and any other content or materials made available by Microhouse Systems Inc. (collectively, the "Materials") are protected by the Copyright Act (Canada), applicable provincial laws, international treaties, and other intellectual property laws. No rights are granted except as expressly stated in this licence.
By accessing, viewing, downloading, copying, installing, using, or otherwise interacting with any Materials, you agree to be legally bound by this Copyright and Licence Usage Agreement (the "Agreement"). If you do not agree, you must not access or use the Materials, and you must immediately discontinue use and permanently delete any copies in your possession or control.
If you access or use the Materials on behalf of an organization, you represent and warrant that you have full authority to bind that organization to this Agreement, and "you" includes that organization.
Definitions
- Microhouse means Microhouse Systems Inc.
- G3N Retail Stack means Microhouse's proprietary headless retail software stack and related products and services.
- MCP means any Microhouse management/control plane or page set through which Microhouse provides access to product functionality, documentation, configuration, monitoring, administration, content, or support resources.
- Authorized User means an individual who is expressly authorized by Microhouse or by a written agreement with Microhouse to access the Materials, solely for permitted internal purposes.
Ownership and reservation of rights
All right, title, and interest in and to the Materials (including all intellectual property rights) are and shall remain exclusively with Microhouse and its licensors.
The Materials are licensed, not sold. No transfer of ownership occurs. Any use of the Materials not expressly permitted by this Agreement is strictly prohibited. Microhouse reserves all rights not expressly granted, and no implied licences are granted by estoppel, exhaustion, or otherwise.
Limited licence grant
Subject to your continuous compliance with this Agreement and any applicable written agreement with Microhouse, Microhouse grants you a limited, personal (or, if applicable, internal-to-your-organization), non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Materials solely for your legitimate internal evaluation, training, implementation, configuration, and operation of G3N Retail Stack, and solely during any period you are an Authorized User.
This licence does not permit public use, publication, redistribution, or any use unrelated to G3N Retail Stack.
Restrictions
Except only to the limited extent expressly permitted in writing by Microhouse, you must not, and must not permit any third party to:
- reproduce, copy, photograph, scan, translate, adapt, modify, edit, create derivative works from, publish, distribute, transmit, broadcast, display to the public, perform, repost, mirror, archive, cache (other than normal browser caching), frame, scrape, crawl, index, mine, or otherwise exploit any Materials;
- remove, alter, obscure, or bypass any copyright, trademark, confidentiality, attribution, proprietary rights notice, watermark, access control, or security mechanism;
- reverse engineer, decompile, disassemble, decrypt, attempt to derive source code, underlying ideas, algorithms, or trade secrets, or otherwise attempt to discover the inner workings of any Microhouse technology, including through benchmarking, protocol analysis, automated queries, or circumvention;
- use the Materials to develop, train, test, improve, or validate any product, service, documentation, dataset, model, or system that competes with Microhouse or that could reasonably substitute for any portion of G3N Retail Stack;
- use the Materials for the benefit of any third party (including consulting, outsourcing, managed services, or training) without Microhouse's prior written consent;
- allow access to the Materials by any person who is not an Authorized User.
Automation, scraping, and AI/ML restrictions
You may not use any automated means (including bots, spiders, scrapers, harvesters, headless browsers, LLM agents, or other automated tools) to access, extract, or replicate any Materials or any portion of the MCP or documentation environments, except where Microhouse has explicitly provided an approved API or written authorization for that specific automated use.
You may not use or permit the use of the Materials (including any text, examples, or code) as training data or input for the development, fine-tuning, evaluation, or operation of any machine learning or artificial intelligence system (including large language models), nor to generate, populate, or improve any knowledge base intended to replicate or substitute for the Materials, except with Microhouse's prior written consent.
Confidentiality and security
If any portion of the Materials is identified as confidential, restricted, internal, or non-public (or if, based on the nature of the content, a reasonable person would understand it to be confidential), you must treat it as confidential information, use it only as permitted, protect it with at least the same degree of care you use to protect your own confidential information (and in any event no less than a reasonable standard of care), and prevent any unauthorized access, disclosure, or use.
You must promptly notify Microhouse of any suspected compromise, unauthorized access, or misuse relating to the Materials, your credentials, or the MCP.
Any credentials, keys, tokens, or access methods provided by Microhouse (or created for your use) are strictly personal to the Authorized User or the authorized organization and must not be shared, sold, transferred, or otherwise disclosed. You are responsible for all activity conducted under your credentials and for maintaining the confidentiality and security of your access methods.
Microhouse may suspend or terminate access immediately if Microhouse reasonably suspects unauthorized access, misuse, or a security risk.
Feedback
If you provide suggestions, feedback, ideas, or other information to Microhouse regarding the Materials or G3N Retail Stack ("Feedback"), you grant Microhouse a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable licence to use, reproduce, modify, create derivative works from, distribute, display, and otherwise exploit the Feedback for any purpose without restriction or compensation, and you waive (to the maximum extent permitted by applicable law) any moral rights or similar rights you may have in the Feedback.
Third-party materials
The Materials may reference or include third-party content, components, or tools ("Third-Party Materials"). Third-Party Materials are the property of their respective owners and may be governed by separate licence terms.
Nothing in this Agreement grants you any rights in Third-Party Materials beyond what is expressly granted by the applicable third-party terms, and Microhouse disclaims responsibility for Third-Party Materials to the maximum extent permitted by law.
Term, suspension, and termination
This Agreement is effective immediately upon your first access or use of any Materials and continues until terminated.
Microhouse may terminate or suspend this Agreement, your licence, and/or your access to the Materials at any time, with or without notice, for any reason, including if Microhouse reasonably believes you have breached or may breach this Agreement.
Upon termination (for any reason), you must immediately cease all use of the Materials, permanently delete or destroy all copies (including any printed or stored copies, excerpts, screenshots, or exports), and, upon request, certify in writing that you have complied.
All provisions that by their nature should survive termination survive, including ownership, restrictions, confidentiality, disclaimers, limitations of liability, indemnities, remedies, and governing law.
Monitoring and remedies
Microhouse may (but is not obligated to) monitor access to and use of the Materials and the MCP for security, compliance, operational integrity, and enforcement purposes, and you consent to such monitoring to the maximum extent permitted by applicable law.
Any failure by Microhouse to enforce any provision of this Agreement does not constitute a waiver.
You acknowledge that unauthorized use, disclosure, or copying of the Materials may cause irreparable harm for which monetary damages may be an inadequate remedy, and Microhouse is entitled to seek immediate injunctive relief and any other remedies available at law or in equity, without the necessity of posting a bond, in addition to any other rights and remedies.
Disclaimer of warranties
THE MATERIALS ARE PROVIDED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MICROHOUSE DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
MICROHOUSE DOES NOT WARRANT THAT THE MATERIALS WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT DEFECTS WILL BE CORRECTED.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MICROHOUSE (OR ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SUPPLIERS, OR LICENSORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, DATA, GOODWILL, ANTICIPATED SAVINGS, OR OTHER ECONOMIC LOSS, ARISING OUT OF OR IN CONNECTION WITH THE MATERIALS OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MICROHOUSE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE MATERIALS OR THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF:
- CAD $100; or
- the amounts paid by you to Microhouse (if any) for authorized access to the specific Materials giving rise to the claim in the three (3) months immediately preceding the event giving rise to liability.
Some jurisdictions do not allow certain limitations; in such cases, these limitations apply to the maximum extent permitted.
Indemnity
You agree to defend, indemnify, and hold harmless Microhouse and its directors, officers, employees, contractors, affiliates, agents, suppliers, and licensors from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:
- your access to or use of the Materials;
- your breach of this Agreement;
- your violation of any law or the rights of any third party; or
- any content, data, or materials you submit, upload, or otherwise provide in connection with your use of the MCP or related environments.
Compliance with laws
You must comply with all applicable laws and regulations, including export control and sanctions laws, in connection with your access to and use of the Materials.
You represent that you are not located in, under the control of, or a national or resident of any jurisdiction subject to comprehensive sanctions that would prohibit your access to the Materials, and that you are not a prohibited or restricted party under applicable laws.
Governing law and jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You irrevocably attorn to the exclusive jurisdiction of the courts located in Ontario, Canada, and waive any objection based on venue, inconvenient forum, or similar grounds, for any dispute arising out of or relating to the Materials or this Agreement.
Miscellaneous
If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force and effect.
No waiver is effective unless in writing and signed by an authorized representative of Microhouse, and any waiver applies only to the specific instance for which it is given.
You may not assign, transfer, delegate, or sublicense this Agreement or any rights or obligations under it, whether by operation of law or otherwise, without Microhouse's prior written consent, and any attempted assignment or transfer in violation of this provision is void.
Microhouse may assign this Agreement and its rights and obligations without restriction.
Microhouse may modify or update this Agreement at any time by posting an updated version with the Materials or within the MCP or documentation environment; continued access or use after the effective date of an update constitutes acceptance of the updated Agreement.
This Agreement, together with any applicable written agreement between you and Microhouse that expressly governs access to the Materials, constitutes the entire agreement regarding the Materials and supersedes all prior or contemporaneous communications and understandings relating to the Materials.
Unauthorized access
Unauthorized use of the Materials is strictly prohibited and may result in termination of access, civil liability, and, where applicable, criminal penalties.
If you are not an Authorized User, or if you have received access to any Materials in error, you must immediately stop using the Materials and notify Microhouse Systems Inc.
